Member Dispute over Real Estate Assets of Family-owned LLC
This case arose out of a dispute between members of a family-owned North Carolina limited liability company that held valuable real estate in the Raleigh-Durham-Chapel Hill area. In this case, de Ondarza Simmons, PLLC represented Angela Reeves, a member of the LLC who owned a minority interest in the business, who was being treated unfairly. Ms. Reeves came to us when another, North Carolina real estate transaction attorney associated Ms. de Ondarza Simmons as local trial counsel to litigate this business dispute. Below, Ms. Reeves was kind enough to share her experience and to recommend Ondarza Simmons, PLLC.
Mismanaged Family LLC was hurting me Financially and Emotionally
“We had an LLC operating agreement, but from where I stood, the LLC Manager was not following it. The Manager was making key decisions about the LLC's real estate assets without consulting me, even though the operating agrement required him to do so. He was not acknowledging any rental income. He was not keeping any receipts or accounting books for the business, and he hadn't even opened a separate bank account for the LLC. To me, it sure looked like he was commingling LLC funds with his own and favoring the other LLC members financially.”
“I wasn't being treated fairly, and ultimately, the Manager just stopped communicating with me about the business. As a result, I was afraid that he would single me out to pay LLC expenses while shielding other members out of family favoritism.”
Hiring Inez de Ondarza Simmons to Represent Me
“When I first started looking for an attorney to protect my business rights, I found Kellie Chappel Gonzalez l through her website. Kelly is an outstanding real estate transaction attorney in Cary who had worked with Inez on litigation cases before.”
“Kellie recommended we associate Inez to help with the business litigation for this case. Inez analyzed the real estate deeds and all of the LLC documents, including the operating agreement. She researched the North Carolina LLC laws, and explained to me how they affected my case.”
“For tactical reasons, Inez removed my case from North Carolina State Court to Federal Bankruptcy Court for tactical reasons. Once in Federal Court, she helped me reach a mediated settlement agreement that I was very pleased with.”
Using Visual Presentation to Settle at Mediation
“For mediation, Inez created a very helpful visual aid. It was a color timeline that clearly showed
- the key dates
- when and how the manager mismanaged the LLC
- the value of the LLC's real estate assets, and
- the corresponding value of my interest in the LLC.
That timeline was key in getting the case settled at mediation and getting me a very good result.”
Inez kept working
“I am a business woman who likes getting things done right now, and in court, nothing can ever get done right now. We agreed with the other side to settle the case, but Inez continued to work diligently to get the opposing parties to actually pay the settlement funds into the bankruptcy court and to get the court to disburse those funds to me.”
What makes Inez different
“The biggest thing for me, was that Inez was very understanding of my personal situation and very patient in listening to my many legal questions. She understood the emotional hurt that I was going through and she clearly sympathized with me as another person. At the same time, she quickly responded to every single email I ever sent her and made sure that she answered all of my questions about my case.”
“Inez was someone I needed, when I needed somebody the most. I'm a business owner, and when this case started, I was unfamiliar with the law. On top of everything, I was hurting emotionally because this case involved my family.”
“Inez took the time to listen to me, not just about the legal part of the case, but about me as a person. She could have just taken the info and done her job, but she took it a step further.”
“Inez showed such concern about the situation as a whole, not just the legal aspect of it. She was very personable, and she just “got it” right away. So, with Inez, it didn't seem like a lawyer-client relationship. It seemed like a friend-friend relationship with someone who also happened to be winning my case for me.”
You Need Inez in Your Corner
“When you are looking for a lawyer to take on a business case, you want to see results. But you also want someone who understands you personally and someone who is personally going to invest the time to help you through a very difficult time.”
“If I ever need help again with a business or real estate dispute, I won't hesitate to hire Inez again. If I knew anyone who needed a lawyer, Inez would be the first and the only person I would recommend.”
